The directors of the Company (the "Directors") as at the date hereof hereby

Remarks:
     
 1. Basis of preparation of results
     
 The Company was listed on GEM on 9 July, 2001. The Company became
 the holding company of the other companies comprising the Group
 on 22 June, 2001. The Groups's audited consolidated results
 for the year ended 31 December, 2001 have been prepared
 on the basis of merger accounting as if the Company had been the
 holding company of the other companies comprising the Group
 throughout the period from 1 January 2000 to 31 December, 2001.
     
 2. Earnings per share
     
 The calculation of the earnings per share for the
 year ended 31 December, 2001 is based on the audited
 consolidated net profit attributable to shareholders of
 approximately HK$61,854,000 (2000: HK$3,164,000) and the
 weighted average number of 1,525,668,219 (2000: 1,359,860,000)
 ordinary shares outstanding assuming 1,359,860,000 shares had
 been in issue since 1 January, 2000.
     
 Diluted earnings per share is not presented for the year
 ended 31 December, 2001 and 2000 as there were no potential
 dilutive securities in existence during the year ended
 31 December, 2001 and 2000.
