The directors of the Company (the "Directors") as at the date hereof hereby

Remarks:
     
GROUP REORGANISATION AND BASIS OF PREPARATION
     
The Company was incorporated in Bermuda on 
22nd September, 1999 and remained inactive
until 11th January, 2000 when the reorganisation
(the "Reorganisation") of the Group was 
completed and the Company became the holding
company of the Group.  The Reorganisation
has been accounted for by the Company using the 
merger accounting method in accordance with 
Statement of Standard Accounting Practice No. 27
"Accounting for group reconstructions".
     
LOSS PER SHARE
     
The calculation of basic loss per share is
based on the net loss attributable to shareholders
for the year of HK$11,286,000 (2000:HK$5,994,000),
and the weighted average of 318,000,000 
(2000: 309,180,822) ordinary shares in issue
during the year.
     
Diluted loss per share for the years ended 
31st December, 2001 and 2000 have not been
calculated as the impact of the outstanding
shares options was anti-dilutive.
