ITC CORP PREF<00206> - Conversion of Convertible Preference Share

Market participants are requested to note that the conversion of the 
existing convertible preference shares ("Old Preference Shares") of ITC 
Corporation Limited into redeemable convertible preference shares ("New 
Preference Shares") will be effective from Wednesday, 03/11/2004.  
Accordindly, a temporary counter under stock code 2944 and stock short 
name "ITC CORP PREF" will be established for trading in board lots of 
2,000 New Preference Shares each to replace the previous counter (stock 
code: 206) for trading in board lots of 2,000 Old Preference Shares each.
