Remarks:

                                  
1.      Listing date

People's Food Holdings Limited's ordinary shares were listed on the 
Singapore Exchange Securities Trading Limited and The Stock Exchange of 
Hong Kong Limited on 14 March 2001 and 28 October 2002, respectively.

2.      Basis of consolidation

The audited annual results for the year ended 31 December 2004 comprise 
the financial information of People's Food Holdings Limited and all of its 
subsidiaries (hereinafter collectively referred to as the "Group") for 
that year, after the elimination of all material intercompany 
transactions.  The results of subsidiaries acquired or disposed of during 
the year are consolidated from or to their effective dates of acquisition 
or disposal, respectively.  Acquisitions of subsidiaries are accounted for 
using the purchase method of accounting.

All significant intra-group transactions and balances are eliminated on 
consolidation.

3.      The turnover and net profit from ordinary activities attributable 
to shareholders are wholly derived from the Group's continuing operations.

4.      Earnings per share

Basic earnings per share for the year ended 31 December 2004 is calculated 
based on the Group's net profit attributable to shareholders of 
approximately RMB 616,243,000  (2003: approximately RMB 552,057,000) 
divided by the weighted average number of 1,133,324,723 ordinary shares of 
HK$0.50 each (2003: 1,133,324,723 ordinary shares of HK$0.50 each) in 
issue during the year.

Diluted earnings per share for the years ended 31 December 2004 and 2003 
have not been calculated as no diluting events existed during these years.
